Terms of Service

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 16, WHICH AFFECT YOUR LEGAL RIGHTS.
These Terms of Service (“Terms”) govern your access to and use of GiftedTalented.com, operated by GiftedTalented LLC, a Delaware limited liability company (“GT,” “we,” “us,” or “our”), including the website, services, programs, content, and related properties (collectively, the “Services”).
GiftedTalented.com operates a family of independent brands and properties referred to in these Terms as the “GiftedTalented.com Network,” including GiftedTalented.com, Unicorn Parents, and other brands, sub-brands, programs, and properties launched, acquired, or developed by GiftedTalented LLC, whether existing as of the effective date of these Terms or formed thereafter.
By accessing or using the Services, submitting any content, participating in any program, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.
1. Eligibility
To use the Services, you must:
(a) Be at least 13 years of age
(b) If under 18, have the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf
(c) Have the legal capacity to enter into a binding agreement, or be represented by a parent or guardian who does
(d) Not be barred from using the Services under applicable law
By using the Services on behalf of a minor, a parent or legal guardian represents that they have full authority to bind the minor to these Terms and accept all rights, obligations, and licenses granted hereunder.
2. Accounts and Registration
Some features of the Services may require account creation. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your information
- Maintain the confidentiality of your credentials
- Be responsible for all activity occurring under your account
- Notify GT immediately of any unauthorized access or breach
GT reserves the right to suspend, disable, or terminate any account at any time, with or without notice, for any reason or no reason.
3. Acceptable Use
You agree not to:
(a) Violate any applicable law, regulation, or third-party right
(b) Submit false, misleading, or fraudulent information
(c) Impersonate any person or entity or misrepresent your affiliation
(d) Harass, threaten, defame, or abuse any person
(e) Upload or transmit viruses, malware, or harmful code
(f) Interfere with or disrupt the Services, servers, or networks
(g) Attempt to gain unauthorized access to any portion of the Services
(h) Scrape, crawl, harvest, or extract data from the Services through automated means
(i) Use the Services to send spam, unsolicited communications, or chain messages
(j) Submit content that is obscene, hateful, discriminatory, or otherwise objectionable
(k) Use the Services for any commercial purpose not expressly authorized by GT
(l) Reverse engineer, decompile, or attempt to derive source code from the Services
GT reserves the right, but has no obligation, to monitor, review, modify, or remove any content or activity that violates these Terms or that GT determines, in its sole discretion, to be inappropriate.
4. User Submissions and Content License
4.1 Your Submissions
“Submissions” means any content you provide to GT, including but not limited to nomination forms, applications, photographs, videos, audio recordings, written materials, biographical information, social media handles, communications, and any other content uploaded, submitted, or transmitted through the Services.
4.2 Ownership
You retain ownership of your Submissions. GT does not claim ownership of the underlying intellectual property in your original works.
4.3 License Grant
By providing any Submission, you grant GiftedTalented LLC and the GiftedTalented.com Network (including all current and future Network properties) a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully paid, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, broadcast, edit, adapt, modify, translate, create derivative works from, and otherwise exploit your Submissions, in whole or in part, in any media now known or hereafter developed, for any purpose consistent with our Privacy Policy and these Terms, including but not limited to:
- Editorial content, features, articles, podcasts, and program materials
- Marketing, promotion, and audience development
- Cross-property use across the GiftedTalented.com Network
- Inclusion in archives, anthologies, books, and retrospective content
- Display at live events, exhibitions, and presentations
- Any other use consistent with GT’s editorial discretion
4.4 Editorial Output
Notwithstanding Section 4.2, any editorial content, features, articles, photographs, videos, audio recordings, derivative works, or other materials created by or on behalf of GT that incorporate or are based upon your Submissions (“Editorial Output”) are owned exclusively by GiftedTalented LLC. You acknowledge that GT may use, modify, sell, license, and exploit Editorial Output without restriction or further compensation.
4.5 Representations
You represent and warrant that:
- You own or have all necessary rights to your Submissions
- Your Submissions do not infringe any third-party rights
- Your Submissions do not violate any law or regulation
- Any persons depicted in your Submissions have consented to such depiction and to GT’s use thereof
4.6 Waiver of Moral Rights
To the maximum extent permitted by law, you waive, and agree not to assert, any moral rights or rights of attribution or integrity in your Submissions.
4.7 No Compensation
You acknowledge that no compensation is owed to you for the rights granted under this Section, and that recognition, participation in GT programs, or other benefits provided by GT constitute adequate consideration.
5. Artificial Intelligence, Scraping, and Data Rights
5.1 Prohibition on Third-Party AI Training
You may not use the Services, GT content, Editorial Output, user Submissions, or any data accessible through the Services to train, fine-tune, develop, or improve any artificial intelligence model, machine learning system, large language model, or similar technology, whether operated by you or any third party, without GT’s express prior written consent.
5.2 Prohibition on Scraping and Automated Access
You may not use bots, scrapers, crawlers, spiders, data extractors, or any automated means to access, collect, copy, or extract content from the Services, except for legitimate search engine indexing in accordance with our robots.txt file.
5.3 GT’s Reserved AI Rights
GiftedTalented LLC and the GiftedTalented.com Network reserve the right to use Submissions, Editorial Output, user data, and any other content collected through the Services to develop, train, fine-tune, and operate artificial intelligence models, machine learning systems, recommendation engines, and other proprietary technologies for GT’s purposes.
6. GT Intellectual Property
The Services, including all content, features, design, code, text, graphics, logos, trademarks, photographs, videos, audio, and software (“GT Content”), are owned by GiftedTalented LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, GT grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. No other rights are granted.
Trademarks, service marks, and trade names of GT, GiftedTalented.com, Unicorn Parents, 20 Under 20, and other GiftedTalented.com Network brands may not be used without GT’s prior written consent.
7. Paid Programs, Payments, and Refunds
7.1 Paid Offerings
GT may offer paid programs, courses, memberships, events, subscriptions, recognition packages, and other goods or services (“Paid Offerings”). Specific terms, pricing, and policies for each Paid Offering will be disclosed at the point of purchase.
7.2 Payment
By purchasing a Paid Offering, you authorize GT (or its third-party payment processors) to charge the payment method you provide. You represent that you are authorized to use the payment method and that the information provided is accurate. All amounts are stated in U.S. dollars unless otherwise specified, and you are responsible for any applicable taxes.
7.3 Subscriptions and Auto-Renewal
Subscription Paid Offerings may automatically renew at the end of each billing period unless cancelled. You may cancel at any time through the procedures disclosed at purchase. Cancellation takes effect at the end of the current billing period.
7.4 Refunds
Except where required by law, all payments are final and non-refundable. GT may, in its sole discretion, offer refunds or credits on a case-by-case basis. Specific Paid Offerings may have their own refund terms, which will be disclosed at purchase and will control.
7.5 Price Changes
GT may change prices for any Paid Offering at any time. Changes to subscription pricing will take effect at the next renewal period.
7.6 Chargebacks
Initiating a chargeback or payment dispute without first contacting GT in good faith may result in immediate suspension of your account and forfeiture of access to any Paid Offering.
8. Programs, Honors, and Recognition
GT operates programs including, but not limited to, the 20 Under 20 recognition, editorial features, podcast appearances, community programming, and other initiatives. Participation in any GT program is at GT’s sole discretion.
Selection for, participation in, or recognition under any GT program does not constitute employment, agency, partnership, or any other relationship beyond what is expressly stated in writing. GT may modify, suspend, or discontinue any program at any time without liability.
Honorees, participants, and recognized individuals are subject to additional terms, including media releases and program-specific agreements, which supplement these Terms.
9. Third-Party Links and Services
The Services may contain links to or integrations with third-party websites, applications, or services. GT does not control, endorse, or assume responsibility for any third-party content or practices. Your interactions with third parties are solely between you and the third party.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, available at https://giftedtalented.com/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy, including data sharing across the GiftedTalented.com Network.
11. Termination
GT may suspend, terminate, or restrict your access to the Services at any time, for any reason or no reason, with or without notice, including but not limited to violations of these Terms. Upon termination:
- Your right to access the Services immediately ceases
- GT may delete your account and any associated data, subject to applicable law
- Licenses you granted to GT under Section 4 survive termination
- Provisions that by their nature should survive termination shall survive, including ownership, indemnification, disclaimers, limitations of liability, and dispute resolution
You may terminate your account at any time by contacting GT. Termination does not entitle you to a refund except as expressly provided in Section 7.
12. Disclaimers
THE SERVICES, GT CONTENT, AND ALL PROGRAMS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIFTEDTALENTED LLC AND ALL GIFTEDTALENTED.COM NETWORK PROPERTIES DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OPERATION.
GT MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR PRODUCE ANY PARTICULAR RESULT. ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK.
NO ADVICE OR INFORMATION OBTAINED FROM GT OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GIFTEDTALENTED LLC, ANY GIFTEDTALENTED.COM NETWORK PROPERTY, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL AGGREGATE LIABILITY OF GIFTEDTALENTED LLC AND ALL GIFTEDTALENTED.COM NETWORK PROPERTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), OR (B) THE AMOUNT PAID BY YOU TO GT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, GT’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
14. Indemnification
You agree to indemnify, defend, and hold harmless GiftedTalented LLC, all GiftedTalented.com Network properties, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use or misuse of the Services
- Your Submissions
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Your violation of any applicable law or regulation
GT reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify GT, and you agree to cooperate with GT’s defense.
15. Copyright Complaints (DMCA)
GT respects intellectual property rights and responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”). If you believe content on the Services infringes your copyright, send a written notice to GT’s designated agent containing:
(a) Identification of the copyrighted work claimed to be infringed
(b) Identification of the allegedly infringing material and its location on the Services
(c) Your contact information
(d) A statement of good-faith belief that the use is not authorized
(e) A statement, under penalty of perjury, that the information is accurate and you are authorized to act
(f) Your physical or electronic signature

GT may terminate the accounts of repeat infringers.
16. Dispute Resolution, Arbitration, and Class Waiver
THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ CAREFULLY.
16.1 Informal Resolution
Before filing any formal dispute, you agree to attempt informal resolution by contacting GT at david@giftedtalented.com and providing a written description of the dispute. GT and you agree to negotiate in good faith for at least sixty (60) days before initiating any arbitration or legal action.
16.2 Binding Arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in Delaware, or remotely at GT’s election.
The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs, except as otherwise provided by law.
16.3 Class Action Waiver
YOU AND GT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
16.4 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court for claims related to intellectual property, unauthorized access, or violations of Sections 3 (Acceptable Use), 5 (AI and Data Rights), or 6 (GT Intellectual Property).
16.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to david@giftedtalented.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out. Opting out does not affect any other provision of these Terms.
17. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Subject to the arbitration provisions in Section 16, the exclusive venue for any dispute that is not subject to arbitration shall be the state or federal courts located in Delaware, and you consent to personal jurisdiction therein.
18. Changes to These Terms
GT may modify these Terms at any time, including to reflect new GiftedTalented.com Network properties, expanded data practices, or changes in applicable law. Material changes will be communicated by posting the updated Terms on the Services with a revised “Last Updated” date and, where appropriate, by other means such as email notice. Continued use of the Services after changes constitutes acceptance of the updated Terms. If you do not agree to any modification, your sole remedy is to discontinue use of the Services.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any program-specific agreements, constitute the entire agreement between you and GT and supersede all prior agreements regarding the subject matter herein.
19.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 No Waiver
GT’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.
19.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without GT’s prior written consent. GiftedTalented LLC may freely assign or transfer these Terms, including in connection with any merger, acquisition, financing, or sale of assets, including to or among GiftedTalented.com Network properties.
19.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and GT.
19.6 Force Majeure
GT shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, governmental action, labor disputes, internet or utility failures, or natural disasters.

Section headings are for convenience only and do not affect interpretation.
